TERMS OF USE

These Terms of Use ("Terms") and the Binding Arbitration Clause (see Section 16) represent a legal agreement between you ("You," "User," or "Participant") and FlippX, Inc. ("FlippX," "we," "us," or "the Company") and govern your use of the FlippX platform, including our mobile applications, websites, user accounts, entertainment features, virtual currency access, referral programs, and all other services provided directly through or in association with FlippX (collectively, the "Platform" or "Service").

PLEASE READ THESE TERMS CAREFULLY. BY USING THE FLIPPX PLATFORM OR CREATING AN ACCOUNT, YOU AGREE TO BE LEGALLY BOUND BY THESE TERMS. THIS INCLUDES OUR PRIVACY POLICY AND ANY OTHER POLICIES POSTED OR LINKED FROM WITHIN OUR PLATFORM (TOGETHER, THE "INCORPORATED POLICIES").

TRACKING TECHNOLOGY DISCLOSURE: ANY CLAIMS YOU MAY HAVE RELATING TO THE USE OF COOKIES, JAVASCRIPT, PIXELS, OR OTHER DATA TRACKING TECHNOLOGIES USED FOR INTERNAL OR ADVERTISING PURPOSES ON FLIPPX ARE FULLY WAIVED BY ACCEPTING THESE TERMS. FLIPPX DISCLAIMS LIABILITY FOR ANY PAST, PRESENT, OR FUTURE TRACKING CLAIMS.

By accessing or using the Platform, or by clicking an acceptance box when presented with these Terms, you affirm that:

• You are of legal age and authorized to enter into this agreement.
• You have read, understood, and accepted these Terms in full.
• You agree to comply with all rules, policies, and conditions associated with FlippX.

FLIPPX IS NOT SPONSORED BY, ENDORSED BY, OR ASSOCIATED WITH APPLE® OR GOOGLE®. YOUR INFORMATION IS PROVIDED TO FLIPPX ONLY.

1. Introduction & Acceptance of Terms

By accessing or using the FlippX platform ("Platform"), including its mobile applications, websites, games, services, and features, you agree to abide by these Terms of Use. If you do not agree with these Terms, you may not use the Platform. These Terms constitute a legally binding agreement between you and FlippX.

1A. Changes to Terms of Use and Incorporated Policies

1A.1. From time to time, we may modify or amend these Terms. If we do so, any such modifications or changes shall be reflected in the Terms of Use or Incorporated Policies, as applicable, on the Platform. We may also, but are not required to, notify you by email regarding any material changes. Whether or not you receive or review such notifications, your continued use of the Platform after any changes are posted constitutes acceptance of the revised Terms.

1A.2. We may also revise any of the Incorporated Policies. Such modifications will be reflected in the updated documents on the Platform. It is your responsibility to review these policies periodically. Continued use of the Platform following posted changes indicates your acceptance.

1A.3. If you have any questions about these Terms or Incorporated Policies, please contact customer support at support@flippx.com.

1A.4. In the event of any conflict between these Terms and the Incorporated Policies, these Terms shall prevail.

2. Eligibility & Jurisdiction Rules

Users must be at least 18 years old or the legal age of majority in their jurisdiction, whichever is higher. The Platform is not available to residents of jurisdictions where digital entertainment of this nature is prohibited by law. FlippX reserves the right to restrict access based on location, using geolocation technology. Users from certain states or countries may have limited or no access to select features.

3. Definitions

• Virtual Currency: Digital tokens used within the Platform for gameplay. These tokens have no real-world cash value, are non-transferable, and cannot be redeemed for cash unless otherwise expressly permitted.
• User Content: All materials submitted, uploaded, or shared by users on the Platform, including chat messages, usernames, avatars, posts, etc.
• Influencer: A user engaged in a contractual partnership with FlippX for promotional purposes, entitled to specific commission and exposure rights.
• Content: Includes text, graphics, user interfaces, visual interfaces, photographs, trademarks, logos, sounds, music, artwork, computer code, and any other material used, displayed, or made available as part of the Games and Platform, including Virtual Currency.
• Customer Account: An account registered and held by a Player.
• Excluded Territory: Includes, but is not limited to, the states of Washington and Idaho in the United States, as well as any U.S. territories, the province of Quebec in Canada, and any other jurisdiction where FlippX access is restricted by law.
• FlippX Coins: The Virtual Currency used to access digital entertainment features on the Platform. These coins may be acquired through engagement, promotions, or purchase. They hold no real-world cash value and cannot be transferred or sold.
• FlippX Coin Games: Any digital feature or entertainment experience accessible using FlippX Coins. Users may gain more FlippX Coins by participating in these activities, but no real-money winnings are awarded.
• Fraudulent Conduct: Any prohibited behavior defined under Section 13 (Prohibited Conduct & Compliance).
• Game: Any interactive experience made available on the Platform. FlippX reserves the right to add, modify, or remove games at any time.
• Inactive Account: A Customer Account that has had no login or logout activity for 12 consecutive months.
• Platform: The collective digital environment provided by FlippX, including websites, mobile apps, features, tools, and services under the FlippX brand.
• Player or You: Any person accessing or using the FlippX Platform, including those registering an account or playing Games.
• Terms of Use or Terms: This entire agreement, as may be updated from time to time.
• Third-Party Websites: External websites not owned or controlled by FlippX.
• Virtual Coins: See "FlippX Coins" above.
• Wallet: The section of a user's account displaying Virtual Coin balances and transactions.
• We, Us, or FlippX: Refers to FlippX Inc. and any affiliated or successor entities.
• XP: Loyalty credits earned through Platform activity. XP may be used to obtain FlippX Coins or digital rewards as offered. XP is non-transferable and has no cash value.

3A. Limited Revocable License ("License")

3A.1 Use of Virtual Coins

FlippX provides users with access to digital, in-platform tokens ("Virtual Coins") solely for entertainment use on the Platform. These may include credits, chips, or other non-monetary representations. Regardless of their label, all Virtual Coins on FlippX are non-redeemable, non-transferable, and hold no cash value. Users cannot win real money or monetary prizes by using Virtual Coins, even if a purchase was made at any point. Games using Virtual Coins are strictly for entertainment purposes and are not considered gambling.

3A.2 Grant of License

Subject to your compliance with these Terms, FlippX grants you a limited, personal, non-exclusive, non-transferable, non-sublicensable, and revocable license to access and use the Platform, including its Games and Virtual Coins, for your own non-commercial, private entertainment. This license does not grant ownership of any element of the Platform. Your right to use Virtual Coins, access content, and engage with the Platform is conditional upon following these Terms. FlippX may, at its discretion and to the extent permitted by law, modify, manage, or remove Virtual Coins without liability or notice.

3A.3 Prohibited Transfers and Account Sharing

Virtual Coins cannot be sold, transferred, gifted, or exchanged between users. Any attempt to assign, sell, or lend your FlippX account or its contents to others violates these Terms and may result in permanent suspension, loss of coins or bonuses, and potential legal action.

3A.4 No Purchase Required

FlippX is committed to ensuring that gameplay is available to users without requiring a purchase. Users may receive free Virtual Coins during account creation and through ongoing engagement. While purchases are available to enhance the experience—such as increasing coin balances, unlocking content, or removing ads—no purchase is ever required to play. All purchases are final. FlippX does not issue refunds, and if your account is suspended, closed, or the Platform is discontinued, any unused Virtual Coins or credits will be forfeited.

3A.5 No Ownership Rights

You acknowledge that these Terms do not grant any ownership interest in the Service or in Virtual Coins. The Platform and its features are licensed to you, not sold.

3A.6 Intellectual Property & Platform Ownership

All rights, title, and interest in and to the Platform—including all Games, code, artwork, text, sound, and branding—remain the exclusive property of FlippX and its licensors. You may not remove, obscure, or alter any proprietary notices or trademarks on the Platform.

3A.7 Restrictions on Use

Unless otherwise authorized by FlippX, you agree not to:

• Sell, sublicense, rent, or distribute the Platform or any component of it
• Copy, adapt, or reverse engineer any part of the Platform
• Interfere with Platform operations or overload servers
• Share access or accounts in ways that bypass intended restrictions
• Harvest, extract, or replicate content for database building or data scraping
• Misrepresent FlippX's ownership or branding
• Upload the Service to file-sharing or public repositories
• Use the Service to engage in abuse, harassment, or unlawful behavior

Violation of any part of this License may result in immediate account termination and legal consequences.

4. Eligibility

Your eligibility for continued use of the Service is contingent on your ongoing compliance with these Terms. Specifically:

4.1 You must be 18 years or older, or the minimum legal age of majority in your jurisdiction (whichever is greater), and legally permitted under local laws to use the Service and participate in digital games and entertainment services. If you are under the age of majority or otherwise ineligible, you may not use or access the Platform.

4.2 You acknowledge and accept that FlippX does not provide legal advice. It is your sole responsibility to ensure your activities on the Platform comply with the laws and regulations of your jurisdiction. You agree not to use any methods to bypass location-based restrictions, such as VPNs or proxy servers.

4.3 You agree to maintain control over your account and to ensure that no individual under the age of 18 accesses the Platform through your account. You accept full responsibility for any unauthorized use of your account by minors, including any purchases or activities. FlippX reserves the right to restrict or terminate accounts found to be accessed by ineligible users.

4.4 You confirm that you will not access the Platform or play FlippX games from excluded territories, including (but not limited to) the U.S. states of Washington and Idaho, or any jurisdiction where FlippX's services are not legally permitted. Your location may be verified by geolocation tools or other means.

4.5 You agree to use the Platform solely in a personal, non-commercial capacity for recreation and entertainment only. Use for commercial gain, institutional promotion, or automated data scraping is strictly prohibited.

4.6 You represent and warrant that the information you provide to FlippX is complete, accurate, and current. Knowingly submitting false, misleading, or outdated information may result in immediate termination of your account, forfeiture of licenses, and permanent exclusion from the Platform.

4.7 You agree not to engage in any fraudulent activity, including but not limited to creating multiple accounts, using bots or automation, manipulating referral programs, or exploiting software vulnerabilities. Any such actions may result in penalties, including legal action, account suspension, or permanent bans.

4.8 Employees and former employees (within the last three years) of FlippX, its affiliates, promotional partners, or individuals involved in game design or distribution, along with their immediate family members (spouse, parents, siblings, and children) and household residents, are not eligible to participate.

4.9 For any transactions involving real or virtual currency, you must use a valid and authorized payment method that lawfully belongs to you. You agree to comply with all applicable financial regulations and acknowledge that FlippX reserves the right to block or reverse suspicious transactions and report fraudulent activity to the appropriate authorities.
